Welcome to Context Engine. These Terms of Use & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Context Engine Inc ("Company," "we," "us," or "our") regarding your access to and use of the Context Engine software-as-a-service platform ("Service," "Platform," or "App") accessible through https://dev.context-engine.ai and all associated applications, services, and features.
By accessing, browsing, or using the Context Engine Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing the Platform, or using any part of the Service, you expressly agree to comply with and be legally bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific features or services. These Terms apply to all users, including visitors, registered users, subscribers, and any other individuals or entities that access or use the Service.
We reserve the right to modify, update, or change these Terms at any time and at our sole discretion. Any changes will become effective immediately upon posting the revised Terms on the Platform with an updated "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, to use the Context Engine Platform. By using the Service, you represent and warrant that you meet these age requirements. If you are using the Service on behalf of an organization, entity, or company, you represent and warrant that you have the authority to bind that organization to these Terms.
2.2 Account Registration
To access certain features of the Service, you must register for an account by providing accurate, current, and complete information, including but not limited to your name and email address. You agree to maintain and promptly update your account information to keep it accurate, current, and complete at all times. Failure to do so may result in suspension or termination of your account.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to immediately notify us of any unauthorized access to or use of your account or any other breach of security. You are fully responsible for all activities that occur under your account, whether or not authorized by you. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
2.4 Account Restrictions
You may not create an account using false, misleading, or inaccurate information. You may not create multiple accounts for fraudulent purposes or to circumvent suspension or termination. Each account is personal to you and may not be transferred, sold, or shared with any other person or entity without our prior written consent.
3. Service Description and Modifications
3.1 Service Description
Context Engine is a Software-as-a-Service (SaaS) platform available across all platforms, including web, mobile, desktop, and other compatible devices. The Service provides users with tools, features, and functionality as described on our website and within the Platform. Specific features, capabilities, and functionalities may vary depending on your subscription level and plan.
3.2 Service Modifications
We reserve the right to modify, suspend, discontinue, or restrict access to all or any part of the Service at any time, with or without notice, and without liability to you. We may introduce new features, impose limits on certain features, or restrict access to parts or all of the Service. We continually strive to improve the Platform and may add, remove, or modify features as we deem appropriate.
3.3 Service Availability
While we strive to provide continuous, uninterrupted access to the Service, we do not guarantee that the Service will be available at all times or that it will be error-free. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control. We shall not be liable for any unavailability, interruption, or degradation of the Service.
4. Subscription Plans and Payment Terms
4.1 Subscription Plans
Context Engine offers various subscription plans with different features, capabilities, and pricing structures. The specific features, limitations, and pricing associated with each plan are described on our website and during the subscription process. By subscribing to a paid plan, you agree to pay all applicable fees according to the pricing and payment terms in effect at the time the fees become payable.
4.2 Payment Processing
All payments are processed securely through our third-party payment processor, Stripe. By providing payment information, you authorize us and our payment processors to charge your designated payment method for all fees incurred. You represent and warrant that you have the legal right to use any payment method you provide and that the information you provide is accurate and complete.
4.3 Billing and Renewal
Subscription fees are billed in advance on a recurring basis according to your selected billing cycle (monthly, annually, or as otherwise specified). Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew for successive periods of equal length, and your payment method will be charged automatically. Renewal charges will be at the then-current rates, which may differ from the rates in effect when you initially subscribed.
4.4 Price Changes
We reserve the right to modify our pricing structure and fees at any time. We will provide you with reasonable advance notice of any price changes. Price changes will take effect at the start of your next billing cycle following the notice period. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.
4.5 Taxes
All fees are exclusive of applicable taxes, duties, levies, tariffs, and similar governmental charges (collectively, "Taxes"). You are responsible for paying all Taxes associated with your use of the Service. If we are required to collect or pay Taxes, such amounts will be invoiced to you and are payable by you unless you provide us with a valid tax exemption certificate.
4.6 Refund Policy
All fees paid are non-refundable except as expressly stated in these Terms or as required by applicable law. We do not provide refunds or credits for partial months or years of service, for periods in which your account was inactive, or for features or services you did not use. If you believe you are entitled to a refund under exceptional circumstances, you may contact us at support@context-engine.ai to request consideration.
4.7 Free Trials and Promotional Offers
We may offer free trials or promotional discounts from time to time. Such offers are subject to additional terms and conditions that will be presented to you at the time of the offer. Free trials automatically convert to paid subscriptions at the end of the trial period unless you cancel before the trial expires. If you do not cancel before the trial period ends, your payment method will be charged for the applicable subscription fee.
5. User Conduct and Acceptable Use
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable federal, state, local, or international law or regulation, or in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.
5.2 Prohibited Conduct
You expressly agree not to engage in any of the following prohibited activities:
- Using the Service for any illegal, fraudulent, or unauthorized purpose
- Impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity
- Uploading, transmitting, or distributing any viruses, malware, ransomware, trojans, worms, or other malicious code
- Attempting to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
- Interfering with or disrupting the Service, servers, or networks connected to the Service
- Using any automated means, including robots, crawlers, scrapers, or spiders, to access or collect data from the Service without our express written permission
- Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying algorithms of the Service
- Modifying, adapting, translating, or creating derivative works based on the Service
- Removing, obscuring, or altering any copyright, trademark, or other proprietary rights notices from the Service
- Using the Service to transmit spam, chain letters, junk mail, or any other unsolicited bulk communications
- Harvesting, collecting, or storing personal information about other users without their express consent
- Uploading, posting, or transmitting content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Infringing upon the intellectual property rights, privacy rights, or other rights of any third party
- Engaging in any activity that could harm minors in any way
- Using the Service to distribute, promote, or facilitate illegal activities
- Attempting to circumvent any security features, access controls, or usage limitations implemented in the Service
- Using the Service in any manner that could conflict with any applicable export control laws or regulations
5.3 Enforcement
We reserve the right, but not the obligation, to monitor, investigate, and take appropriate action against anyone who violates these Terms, including removing or disabling access to content, suspending or terminating accounts, and reporting violations to law enforcement authorities. We may cooperate with law enforcement agencies in investigating and prosecuting users who violate these Terms or applicable laws.
6. Intellectual Property Rights
6.1 Ownership of Service
The Service, including all content, features, functionality, software, code, designs, graphics, interfaces, documentation, and all intellectual property rights therein, is owned by Context Engine Inc, its licensors, or other providers of such material and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes. This license does not include any right to: (a) resell or make commercial use of the Service; (b) modify or make derivative works of the Service; (c) download or copy any content except as expressly permitted; (d) collect or use any product listings, descriptions, or prices; (e) make any use of data mining, robots, or similar data gathering or extraction methods; or (f) use the Service other than for its intended purpose.
6.3 Trademarks
The Context Engine name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Context Engine Inc or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans mentioned in the Service are the trademarks of their respective owners.
6.4 User Content
The Service may allow you to upload, submit, store, send, or receive content, data, information, or materials ("User Content"). You retain all ownership rights in your User Content. However, by submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with providing, maintaining, improving, and promoting the Service.
6.5 User Content Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to your User Content and that your User Content does not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or other proprietary rights.
6.6 Content Monitoring and Removal
We have no obligation to monitor User Content, but we reserve the right to review, monitor, edit, or remove any User Content at any time and for any reason, including if we believe it violates these Terms or applicable law, infringes any third-party rights, threatens the security or integrity of the Service, or is otherwise objectionable. We assume no liability for any failure to remove or delay in removing any User Content.
6.7 Feedback
If you provide us with any feedback, suggestions, recommendations, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit such Feedback in any manner and for any purpose without compensation or attribution to you.
7. Privacy and Data Protection
7.1 Privacy Policy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect information about you and is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in our Privacy Policy.

7.6 Data Retention
We retain your information for as long as your account is active or as needed to provide you with the Service, comply with our legal obligations, resolve disputes, enforce our agreements, and for other legitimate business purposes. When your information is no longer needed for these purposes, we will securely delete or anonymize it.

Depending on your jurisdiction, you may have certain rights regarding your personal information, including the right to access, correct, delete, restrict processing, object to processing, or request portability of your information. 8. Third-Party Links and Services
The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Context Engine Inc. We have no control over and assume no responsibility for the content, privacy policies, terms of use, or practices of any third-party websites, applications, or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites, applications, or services that you visit or use. Your interactions with third-party websites, applications, or services are solely between you and the third party, and we disclaim all liability in connection with such interactions.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CONTEXT ENGINE INC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS. WE DO NOT WARRANT THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED OR THAT ANY DEFECTS WILL BE REMEDIED.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE DEVICE, OR OTHER DEVICE, OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTEXT ENGINE INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).
THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND SHALL SURVIVE ANY FUNDAMENTAL BREACH OR FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless Context Engine Inc, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, representatives, and service providers from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use of or inability to use the Service
- Your violation of these Terms
- Your violation of any law, regulation, or third-party right
- Your User Content or any content you submit, post, or transmit through the Service
- Any claim that your User Content caused damage to or infringed the rights of a third party
- Your negligence, willful misconduct, or fraud
- Any other matter for which you are responsible under these Terms or applicable law
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses. You shall not settle any claim subject to this indemnification provision without our prior written consent. This indemnification obligation shall survive the termination of these Terms and your use of the Service.
12. Term and Termination
12.1 Term
These Terms commence on the date you first access or use the Service and continue until terminated in accordance with this section.
12.2 Termination by You
You may terminate your account and these Terms at any time by discontinuing use of the Service and following the account cancellation process within your account settings or by contacting us at support@context-engine.ai. If you have a paid subscription, cancellation will be effective at the end of your current billing cycle, and you will continue to have access to the Service until that time. You will not receive a refund for any fees already paid.
12.3 Termination by Us
We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or any applicable law or regulation
- Fraudulent, abusive, or illegal activity
- Failure to pay any fees when due
- Extended periods of inactivity
- At our sole discretion if we believe termination is necessary to protect the Service, other users, or our business interests
- Upon your request
12.4 Effect of Termination
Upon termination of your account or these Terms, your right to access and use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, dispute resolution provisions, and general provisions. Termination does not relieve you of any obligations to pay any fees or charges accrued prior to termination.
12.5 Data Upon Termination
Upon termination, we may delete your account and all associated User Content. We have no obligation to retain or provide you with copies of your User Content after termination. You are responsible for backing up any User Content you wish to retain before termination. We may retain certain information as required by law or for legitimate business purposes.
13. Dispute Resolution and Arbitration
13.1 Informal Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes"), you and Context Engine Inc agree to first attempt to resolve the Dispute informally. You agree to contact us at support@context-engine.ai with a detailed description of the Dispute, and we will attempt to resolve it through good-faith negotiations. If we cannot resolve the Dispute within sixty (60) days of receiving notice, either party may proceed to arbitration or litigation as set forth below.
13.2 Binding Arbitration
If the Dispute cannot be resolved through informal negotiations, you and Context Engine Inc agree that any Dispute shall be resolved exclusively through binding arbitration, except as otherwise provided in this section. The arbitration shall be administered by a recognized arbitration organization in accordance with its applicable arbitration rules. The arbitration shall take place in the jurisdiction where Context Engine Inc maintains its principal place of business or another mutually agreeable location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AND CONTEXT ENGINE INC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. UNLESS BOTH YOU AND CONTEXT ENGINE INC AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE, CLASS, OR COLLECTIVE PROCEEDING.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction to seek injunctive or other equitable relief in connection with intellectual property infringement, misappropriation, or violation. Additionally, you may assert claims in small claims court if your claims qualify and remain in small claims court.
13.5 Applicable Law
These Terms and any Disputes shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Context Engine Inc is organized and maintains its principal place of business, without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Context Engine Inc agree to submit to the personal and exclusive jurisdiction of the courts located in that jurisdiction.
13.6 International Users
Given that the Service is accessible globally, international users acknowledge and agree that the laws of their jurisdiction may differ from those applicable under these Terms. To the extent permitted by applicable law, you consent to the application of the governing law specified in these Terms and waive any objection based on inconvenient forum or lack of personal jurisdiction.
14. Export Compliance
The Service may be subject to export control laws and regulations of the United States and other jurisdictions. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade sanctions programs administered by the Office of Foreign Assets Control. You represent and warrant that you are not: (a) located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; (b) listed on any U.S. Government list of prohibited or restricted parties; or (c) otherwise prohibited from receiving or using the Service under applicable law. You shall not access or use the Service in violation of any export control or sanctions laws or regulations.
15. Digital Millennium Copyright Act (DMCA) Compliance
15.1 Copyright Policy
Context Engine Inc respects the intellectual property rights of others and expects users of the Service to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws. We may terminate the accounts of users who are repeat infringers.
15.2 DMCA Notices
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through the Service, you may notify us by providing our designated copyright agent with the following information in writing:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
- Your contact information, including your address, telephone number, and email address
- A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
- A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

15.3 Counter-Notices
If you believe that content you posted was removed or access to it was disabled by mistake or misidentification, you may file a counter-notice with our copyright agent containing the following information:
- Your physical or electronic signature
- Identification of the content that has been removed or disabled and the location where it appeared before removal
- A statement under penalty of perjury that you have a good faith belief that the content was removed or disabled as a result of mistake or misidentification
- Your name, address, telephone number, and email address
- A statement that you consent to the jurisdiction of the federal court in your district and that you will accept service of process from the person who provided the original DMCA notice or their agent
16. Children's Privacy
The Service is not intended for use by children under the age of eighteen (18) years, or the age of legal majority in their jurisdiction, whichever is greater. We do not knowingly collect, solicit, or maintain personal information from anyone under the applicable age threshold. If we become aware that we have collected personal information from a child without appropriate parental consent, we will take steps to delete that information as quickly as possible.
